Options for legal structure based on business type
If your company is purely into professional services that does not sell any tangible product or trade directly in terms retail or wholesale selling then your business type is categorised as Professional Business. In this type of business a foreign investor or shareholders can hold 100% value of the shares without the need of having an Emirati partner. The business can be incorporated as a single owner establishment (also known has sole establishment) or by Civil Partnership in case of more than one share holder. This type of legal entity is not subjected to the commercial company laws as apposed to a limited liability company.
Businesses related to Trading, Importing and Exporting of commodities, Real Estate, Advertising fall under Commercial Incorporation. Non-GCC shareholders in this kind of entity requires an Emirati partner to hold at least 51% of shares as per the UAE Federal Commercial Law.
Any kind of Manufacturing of general commodities must be incorporated under an Industrial License. These businesses require special approval from The UAE Ministry of Economy, subject to reviewing of the business case study.

Registered business location is subjective to the business activity which is explained below
Most of the business are registered under a commercial office. This includes services and trading companies that generally does not have a specific requirement in terms of their activity. The premises must be an office or a unit under commercial tower registered with Dubai Land Department.
Restaurants, Stores, Super Markets and other retail businesses are required to be registered at a retail outlet for practising the business. There is a certain space requirement for the shops in line with the business activity.
Manufacturing and Industrial units must be registered on a commercial warehouse only in order to conduct their business. There are also certain businesses that can only be registered on a warehouse such as Automobile Repair and General Trading Wholesalers.
At this stage you will have your Business Registration completed with Dubai Govt. Department of Economic. You are legal and can start executing your business. As soon as you have your permit, you are ready to reach a huge market around the world as a legal business registered in Dubai.
